Business valuation

Business valuation in Panama

What a company is worth is not an opinion. It is the result of a method, a set of observable market parameters and assumptions that have to hold up in front of a buyer, a bank or a board.

DB Consultants Group has prepared valuation reports for Panamanian companies since 2015. More than 150 companies have worked with the firm.

When it is needed

When a company needs a valuation

Most valuations are commissioned late — once an offer is already on the table and the owner has nothing to test it against. These are the situations where it pays to have the number beforehand.

  • Before selling. Arriving at the negotiation with your own figure and a documented methodology changes the conversation: it stops revolving around the buyer’s number.
  • Before buying. Knowing what you are paying for, on what assumptions, and what would have to happen for the price to be justified.
  • A partner coming in or going out. Setting the value of a stake on criteria both sides can accept.
  • Family succession. Dividing among heirs requires a defensible value, particularly when some stay in the business and others do not.
  • Raising capital. The percentage given up depends directly on the pre-money valuation.
  • Credit and collateral. Banks ask for support when the company, and not only the asset, backs the facility.
  • Corporate reorganizations. Mergers, spin-offs and contributions in kind all require a reasoned value.
  • Management. Measuring value each year is the most direct way to know whether the strategy is working.

Methodology

Four methods, and when each applies

Discounted cash flow

Projects the cash the business can generate and brings it to present value at a rate that reflects its risk. The reference method for a going concern with a track record and a plan that can be supported.

Comparable company multiples

Benchmarks the company against peers whose price is known. A reasonableness check; in Panama it requires care, because local comparables are few and international ones operate at a different cost of capital.

Precedent transactions

Looks at what similar businesses actually sold for. It captures the premium a strategic buyer has been willing to pay, which discounted cash flow alone does not.

Adjusted net asset value

Restates assets and liabilities at today’s prices. The route when the business does not generate stable cash flow, when net assets outweigh operations, or when a liquidation is being assessed.

No serious valuation rests on a single method. Discounted cash flow sets the range and the others test it. When all four point to very different places, that gap is itself information: it almost always flags an assumption worth revisiting.

The parameter that decides

The cost of capital in Panama

In a discounted cash flow, the discount rate weighs as much as the projections. It is the most common and most expensive error: a rate imported from another market moves the result by tens of percentage points.

11.7%

Cost of equity for a Panamanian company of average risk (beta equal to 1) in the third quarter of 2026. It is built from a risk-free rate of 4.64% and a market risk premium for Panama of 7.08%, which already incorporates country risk.

It is the minimum hurdle against which any business or project in the country is measured. See the full calculation and its sources.

The process

How a valuation report is prepared

  1. Kick-off and scopeWhat the valuation is for — selling, buying, dividing, financing or managing — because the purpose determines the method and the valuation date.
  2. Information and reviewThree to five years of financial statements, debt schedule, material contracts, non-operating assets and corporate structure. This is where what the accounts do not show tends to surface: personal expenses inside the company, idle assets, revenue that depends on a single client.
  3. NormalizationHistorical results are cleaned of items that will not recur, so the projection starts from the real earning capacity of the business rather than from the last financial year.
  4. Projection and scenariosThe model is built on explicit assumptions and run under at least three scenarios. A single value with no scenarios does not survive a negotiation.
  5. Report and presentationThe document is delivered and presented to whoever has to decide: the owner, the board, the bank or the counterparty.

The usual timeline is three to five weeks from the point the information is complete. What lengthens it is not the analysis but the availability of data.

Deliverables

What the client receives

  • A value range, not a single figure, with the base case and alternative scenarios.
  • The financial model as an open, editable spreadsheet, so the company can run its own assumptions later.
  • The methodology memorandum: method applied, parameters, sources and reference date for every input.
  • Sensitivity analysis on the two or three variables that actually move the result.
  • A presentation session to whoever has to make the decision.

Every engagement is confidential. The firm does not disclose client names or deal figures without express authorization.

Pitfalls

Five errors that undervalue a company

  • Confusing profit with cash flow. A company that is profitable on the income statement can be worth little if growth consumes its cash in inventory and receivables.
  • Projecting growth without the investment that sustains it. Doubling sales almost always requires working capital and assets that have to be deducted from cash flow.
  • Using another country’s cost of capital. A rate taken from a developed market inflates the value; one from a higher-risk country sinks it.
  • Not separating non-operating assets. Land, vehicles or investments that play no part in the business are valued separately, not inside the cash flow.
  • Not documenting assumptions. A value without a written record cannot be defended before a buyer, still less before a bank.

Common questions

Frequently asked questions

How long does a business valuation take?

Three to five weeks from the point the financial information is complete. Engagements with disorganized accounting or several related companies can take longer, because the work starts by putting the information in order.

What information has to be provided?

Three to five years of financial statements, a debt schedule with terms, material contracts, a list of non-operating assets, the corporate structure, and the current budget if one exists. The firm works with what is available and flags the gaps in the report itself.

Is it useful for negotiating with a buyer?

Yes, and that is its most frequent use. A report with a documented methodology and scenarios allows you to argue about assumptions rather than about figures, which is where sellers usually lose ground.

Is a valuation for a sale the same as one for an inheritance?

Not necessarily. The purpose changes the valuation date, the treatment of minority stakes and the discounts that apply. That is why scope is agreed before the work starts.

Which method is used in Panama?

Discounted cash flow as the primary method, tested against comparable company multiples and precedent transactions where they exist. Adjusted net asset value is used when the business does not generate stable cash flow.

Does the firm also advise on the sale itself?

Yes. A valuation can be a standalone engagement or the first step of a sale mandate, which includes preparing the information package, approaching counterparties and support through closing.

Do you work in English?

Yes. Reports, models and presentations can be delivered in English or Spanish, and meetings are held in either language.
